This Non-Disclosure Agreement (“Agreement”) is made between Equafusion (“Company”) and any applicant, intern, freelancer, employee, or contractor (“Recipient”) who applies for or engages in opportunities with the Company. By submitting an application or accepting a role with Equafusion, you agree to the following:

1. Definition of Confidential Information

“Confidential Information” includes but is not limited to:

Business strategies, marketing plans, pricing models, client information, leads, and contacts.

Technical data, source codes, website designs, product ideas, workflows, and documentation.

Creative content including graphics, videos, advertisements, and campaigns.

Training material, internal communication, recruitment processes, and HR information.

Any non-public information disclosed orally, visually, or in written or digital form.

2. Obligations of the Recipient

Recipient shall maintain complete confidentiality of all Confidential Information received during and after association with the Company.

Recipient shall not disclose, reproduce, modify, distribute, or use Confidential Information except as required to perform assigned duties.

Confidentiality applies regardless of whether the association is as an intern, part-time worker, full-time employee, contractor, or freelancer.

Recipient must protect all data (including passwords, documents, and client details) with the same degree of care as their own sensitive information.

3. Use of Information

Confidential Information shall be used strictly for the purpose of carrying out responsibilities under the scope of work assigned by Equafusion.

Recipient agrees not to use such information for personal gain, competitive advantage, or to benefit any third party.

4. Ownership of Work & Intellectual Property

All work produced, including but not limited to designs, videos, content, code, campaigns, and reports, shall remain the exclusive intellectual property of Equafusion.

Recipient waives any claim of ownership over such work, unless explicitly agreed otherwise in writing.

Recipient may not use or publish any work created for Equafusion without written approval.

5. Duration of Confidentiality

Confidentiality obligations begin immediately upon receipt of any information, including during the hiring/application process.

These obligations shall survive indefinitely, even after the end of internship, employment, contract, or association with Equafusion.

6. Return or Destruction of Information

Upon completion of work, or upon request from the Company, the Recipient must promptly return or securely destroy all documents, files, credentials, and data belonging to Equafusion.

No copies, screenshots, or backups may be retained by the Recipient.

7. Exclusions

This Agreement does not apply to information that:

Is or becomes public knowledge without breach of this Agreement.

Was lawfully obtained by the Recipient from a third party without confidentiality obligation.

Was independently developed by the Recipient without reference to Equafusion’s Confidential Information.

8. Professional Conduct

Recipient agrees to act with honesty, integrity, and professionalism while handling Confidential Information.

Any misuse of resources, credentials, or company material is strictly prohibited.

Recipient agrees not to contact or solicit Equafusion’s clients, employees, or partners outside the scope of assigned work.

9. Acknowledgment

By applying to or working with Equafusion, the Recipient confirms that:

They have read, understood, and agreed to the terms of this NDA.

They will uphold strict confidentiality and integrity during and after their association with Equafusion.

Any violation of this NDA will be considered a breach of professional trust and may result in termination of association.
